Terms & Conditions
Effective Date: August 20, 2026
These Terms & Conditions apply to products and services supplied by Bluemax USA Inc. (“Bluemax,” “we,” “us,” or “our”) to customers, distributors, resellers, contractors, utilities, and other commercial purchasers (“Customer”).
By requesting a quotation, placing an order, accepting delivery, purchasing a product, using a Bluemax product, or engaging Bluemax to provide services, you agree to these Terms & Conditions.
Orders & Quotations
Unless otherwise stated, Bluemax quotations are valid for 30 days from the date of issue.
Orders are subject to acceptance by Bluemax. A purchase order does not become binding until accepted by Bluemax through written confirmation, order acknowledgment, commencement of manufacture, or shipment.
Any additional or conflicting terms contained in a Customer purchase order or procurement document are rejected unless expressly accepted in writing by an authorized Bluemax representative.
Custom, modified, specially manufactured, or customer-specific products may be non-cancellable and non-returnable.
Pricing
All prices are quoted in U.S. dollars unless otherwise stated.
Prices exclude applicable:
- Sales and use taxes
- Duties and tariffs
- Customs fees
- Freight
- Insurance
- Expedited shipping
- Special packaging
- Other governmental charges
Customers claiming tax-exempt status must provide a valid exemption certificate.
Bluemax may revise pricing before order acceptance if material, supplier, freight, tariff, duty, or other costs materially change.
Payment
Payment terms will be stated on the applicable quotation, invoice, or order acknowledgment.
Unless otherwise agreed, approved commercial accounts are payable Net 30 days from invoice date.
Bluemax may require deposits, advance payment, progress payments, or other payment arrangements.
Past-due balances may be subject to interest at the lesser of 1.5% per month or the maximum permitted by law.
Bluemax may suspend shipment, service, software access, or future orders where an account is materially overdue.
Shipping & Delivery
Delivery dates are estimates unless expressly guaranteed in writing.
Bluemax will use commercially reasonable efforts to meet estimated delivery dates but is not responsible for delays outside its reasonable control.
Unless otherwise stated on the quotation, shipping terms are EXW Bluemax facility, Incoterms® 2020.
Risk of loss transfers in accordance with the applicable shipping terms.
Customers should inspect shipments promptly upon arrival and report visible damage, shortages, or incorrect products within 10 business days.
Product Specifications
Bluemax continually improves its products and technology.
Bluemax may make reasonable changes to product:
- Design
- Materials
- Electronics
- Firmware
- Software
- Appearance
- Packaging
- Manufacturing methods
- Technical specifications
Such changes may be made without prior notice provided they do not materially impair the intended function of the product.
Product images, illustrations, drawings, demonstrations, brochures, and website content are illustrative unless expressly incorporated into a written specification.
Product Use & Customer Responsibility
Customers are responsible for determining whether a Bluemax product is appropriate for their intended application.
Bluemax products must be:
- Used only for their intended purpose
- Used within published load and capacity limits
- Inspected before use
- Operated by trained and competent personnel
- Used in accordance with Bluemax instructions
- Used with compatible and correctly rated equipment
- Removed from service if damaged, overloaded, modified, or suspected of malfunctioning
Bluemax products do not replace appropriate engineering judgment, established work methods, regulatory requirements, or workplace safety procedures.
Safety-Critical Applications
Some Bluemax products measure, monitor, communicate, or assist with loads, forces, tensions, or other operational information.
They are intended to assist trained personnel and should not be treated as a substitute for appropriate engineering controls or professional judgment.
Customers should not rely solely on wireless communication, mobile applications, cloud services, alarms, notifications, or software-generated information where independent verification is appropriate for safe operation.
If a reading appears abnormal, inconsistent, unavailable, or unexpected, work should be stopped and the equipment independently verified before continuing.
Working Load Limits
Published Working Load Limits (“WLL”), capacity ratings, safety factors, and other product limitations must not be exceeded.
Shock loading, side loading, dynamic loading, impact loading, incorrect rigging, or loading outside the intended load path can generate forces significantly greater than the indicated static load.
Customers are responsible for ensuring associated rigging, shackles, hooks, connectors, lifting devices, structures, and equipment are correctly rated for the application.
Calibration
Measurement products should be calibrated at intervals appropriate to the application, Customer procedures, manufacturer recommendations, and applicable regulatory or quality requirements.
Where qualifying Bluemax products include complimentary calibration services, the program covers only those calibration services expressly stated by Bluemax.
Unless otherwise agreed, Customers are responsible for shipping equipment to Bluemax for calibration.
Calibration does not guarantee that a product submitted for calibration will be found within tolerance.
Products found damaged, overloaded, modified, excessively worn, or otherwise unsuitable for calibration may require repair or replacement.
Bluemax may provide “as found” and “as left” calibration results where applicable.
Calibration Certificates
Calibration certificates apply only to the specific product and serial number identified on the certificate.
A calibration certificate reflects the condition of the product at the time it was calibrated and does not guarantee that the product will remain within specification indefinitely.
Performance may be affected by:
- Overload
- Shock
- Impact
- Misuse
- Environmental conditions
- Physical damage
- Storage
- Component failure
- Other events occurring after calibration
Customers are responsible for implementing any intermediate verification procedures required by their quality system or application.
10-Year Limited Warranty
Unless otherwise stated for a specific product, qualifying Bluemax hardware products are covered by a 10-year limited warranty from the original shipment date.
The warranty covers defects in materials and workmanship under normal and intended use.
For a valid warranty claim, Bluemax may, at its option:
- Repair the product
- Replace the defective component
- Replace the product
- Supply a functionally equivalent replacement
- Provide another mutually agreed remedy
Repair or replacement is the primary remedy under the limited warranty.
Warranty Exclusions
The warranty does not cover damage or failure caused by:
- Misuse or abuse
- Overloading
- Shock loading outside intended use
- Improper installation
- Improper rigging
- Unauthorized modification
- Unauthorized repair
- Accident
- Negligence
- Improper storage
- Use outside published specifications
- Environmental or chemical exposure outside published limits
- Incompatible equipment
- Normal wear and tear
- Intentional damage
- Failure to follow Bluemax instructions
Warranty coverage may also be refused where serial numbers or product identification have been removed or intentionally altered.
Batteries
Where expressly stated, an integrated battery may be covered by the applicable Bluemax product warranty.
Actual battery life depends on operating conditions, usage frequency, wireless activity, temperature, charging practices, storage, and other factors.
Published battery-life figures are estimates based on defined operating conditions and are not guarantees of actual field life.
Warranty Returns
Customers must contact Bluemax before returning products.
A Return Material Authorization or other return instructions may be required.
Unauthorized returns may be refused.
Bluemax may inspect and test returned products to determine whether a covered warranty condition exists.
Where testing determines that no covered defect exists, reasonable inspection, testing, calibration, repair, and shipping charges may apply.
Software, Apps & Firmware
Certain Bluemax products may operate with mobile applications, software, firmware, APIs, web portals, or cloud services.
Software is licensed, not sold.
Customers receive a limited right to use Bluemax software in connection with authorized Bluemax products and their internal business operations.
Customers must not:
- Reverse engineer Bluemax software except where legally permitted
- Circumvent security controls
- Copy or distribute proprietary software without authorization
- Interfere with Bluemax systems
- Use unauthorized credentials
- Use Bluemax software to develop a competing product
Additional software terms may be contained in a separate End User License Agreement.
Wireless Performance
Bluetooth, Wi-Fi, cellular, and other wireless performance depends on environmental and operating conditions.
Actual range may be affected by:
- Structures
- Vehicles
- Terrain
- Equipment
- Interference
- Mobile-device hardware
- Antenna orientation
- Weather
- Obstructions
- Radio-frequency congestion
Published wireless ranges should not be interpreted as guaranteed operating distances in all environments.
Customers should maintain appropriate procedures for loss of communication.
Cloud Services
Where Bluemax products include cloud-based functionality, Bluemax will use commercially reasonable efforts to maintain service availability.
Bluemax does not guarantee uninterrupted availability of internet-dependent services.
Cloud functionality may be affected by third-party networks, internet outages, maintenance, cybersecurity events, mobile carriers, or other circumstances outside Bluemax’s reasonable control.
Data
Customers retain ownership of Customer-specific operational data to the extent they have ownership rights in that data.
Bluemax retains ownership of its:
- Software
- Algorithms
- System architecture
- Product technology
- Diagnostic systems
- Intellectual property
Subject to applicable law and contractual restrictions, Bluemax may use anonymized or aggregated product information for diagnostics, reliability analysis, calibration analysis, product development, technical support, and safety improvements.
Intellectual Property
All intellectual property relating to Bluemax products and services remains the property of Bluemax or its licensors.
This includes patents, designs, drawings, software, firmware, algorithms, trademarks, documentation, manufacturing methods, calibration methods, and proprietary technical information.
Purchase of a Bluemax product does not transfer intellectual property ownership.
Evaluation & Demonstration Products
Products supplied for evaluation, demonstration, trial, or temporary use remain Bluemax property unless purchased by the Customer.
Customers are responsible for protecting evaluation equipment from loss, damage, misuse, or unauthorized modification.
Evaluation products must be returned when requested.
Separate Evaluation Equipment Agreements may apply.
Prototypes & Development Products
Prototype, beta, experimental, development, and pre-production products may not have completed Bluemax’s standard production qualification process.
Such equipment is intended only for authorized testing and evaluation unless Bluemax expressly authorizes operational use in writing.
Test results obtained using prototypes should not automatically be assumed to represent final production performance.
Product Safety Notices
If Bluemax determines that a product requires inspection, firmware update, recalibration, repair, replacement, or removal from service, Customers agree to reasonably cooperate with Bluemax.
Customers should maintain suitable serial-number and product records to enable affected products to be identified.
Distributors & Resellers
Distributors and resellers may not make warranties, representations, performance claims, or commitments on behalf of Bluemax beyond authorized Bluemax documentation.
Distributors and resellers are responsible for accurately communicating applicable product specifications, safety information, operating instructions, and warranty limitations to end users.
Separate distributor agreements take precedence where applicable.
Export Compliance
Customers must comply with applicable U.S. export control, sanctions, and trade laws.
Bluemax products, software, and technology must not be exported, re-exported, transferred, or supplied in violation of applicable law.
Bluemax may refuse or cancel an order where fulfillment could reasonably violate applicable trade restrictions.
Disclaimer of Warranties
Except for the express limited warranty provided by Bluemax, and to the maximum extent permitted by law, Bluemax disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Customers are responsible for determining whether a Bluemax product is suitable for their intended application.
Limitation of Liability
To the maximum extent permitted by law, Bluemax will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of:
- Profit
- Revenue
- Production
- Use
- Data
- Business opportunity
Bluemax will also not be liable for business interruption or the cost of substitute equipment arising from the use or inability to use a Bluemax product or service.
To the maximum extent permitted by law, Bluemax’s total liability arising from a particular product, service, or order will not exceed the amount actually paid to Bluemax for the product, service, or order giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
Force Majeure
Bluemax is not responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, government action, transportation disruption, labor disruption, supplier failure, utility outages, semiconductor shortages, material shortages, customs delays, cybersecurity incidents, or import/export restrictions.
Governing Law
These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law principles, unless otherwise expressly agreed in writing.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Disputes
The parties will first attempt in good faith to resolve disputes through discussions between authorized representatives.
If a dispute cannot be resolved informally, legal proceedings shall be brought in the appropriate state or federal courts having jurisdiction in the State of Washington unless otherwise agreed in writing.
Changes to These Terms
Bluemax may update these Terms from time to time.
The version applicable to an order will generally be the version in effect when the order is accepted.
Updates will not retroactively modify an accepted order unless required by law or agreed by both parties.
